1. Service Overview

SkyLight ("the Service") is a cloud-based procurement analytics platform operated by SkyLight Technologies ("the Company", "we", "us"). The Service enables users to upload supplier quotation documents, extract structured data using artificial intelligence, and generate automated comparison reports. By accessing or using the Service you agree to be bound by these Terms.

2. Eligibility & Account Responsibility

The Service is available to individuals and organisations worldwide. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service.

3. Pricing, Billing & Taxes

All prices displayed on this page are in US Dollars and exclude Value Added Tax (VAT), sales tax, withholding tax, and any other applicable taxes or government-imposed fees. You are solely responsible for determining and paying any taxes that apply to your purchase based on your jurisdiction. The Company may change plan prices at any time with 30 days' prior notice to active subscribers.

4. Use of Third-Party AI Models

The Service relies on third-party large language model (LLM) providers — including but not limited to OpenRouter, Groq, Google, and Anthropic — to process documents, extract data, and generate comparison outputs. Your uploaded documents are transmitted to these providers for processing. By using the Service, you acknowledge and agree that:

• Your data will be processed by third-party AI model providers in accordance with their respective privacy policies and terms of service.
• SkyLight Technologies does not control and is not responsible for how third-party providers handle, store, or process your data once it has been transmitted to them.
• You should not upload documents containing highly sensitive personal data, trade secrets, or information whose disclosure to third-party AI providers would violate applicable laws or regulations, unless you have independently verified that the relevant provider's terms permit such processing.

5. AI Output Accuracy — No Guarantee

All outputs generated by the Service — including extracted quotation data, price comparisons, currency conversions, and recommendation reports — are produced by large language models and automated algorithms. While we strive for accuracy, the Company does not guarantee, warrant, or represent that any output is accurate, complete, or error-free. AI models may produce incorrect data, omit information, or misinterpret source documents. You are solely responsible for reviewing, verifying, and validating all outputs before relying on them for procurement decisions, financial commitments, or any other purpose.

6. Limitation of Liability

To the maximum extent permitted by applicable law, SkyLight Technologies, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or procurement losses, arising out of or related to:

• Inaccurate, incomplete, or erroneous outputs generated by the Service or the underlying AI models.
• Any breach of privacy, data loss, or security incident caused by third-party AI model providers.
• Service downtime, interruptions, or unavailability of third-party providers.
• Decisions made by you or your organisation based on Service outputs.

In no event shall the Company's total aggregate liability exceed the amount you paid to the Company in the twelve (12) months preceding the claim.

7. Data Privacy & Security

We take reasonable technical and organisational measures to protect your data within our own infrastructure. However, privacy and data protection with respect to data processed by third-party AI providers is governed exclusively by those providers' privacy policies and data processing agreements. We encourage you to review the applicable provider's terms before uploading sensitive documents. The Company is not liable for any data breach, unauthorised access, or privacy violation that occurs on a third-party provider's systems.

8. Acceptable Use

You agree not to use the Service to:

• Upload malicious files, malware, or content intended to exploit the system.
• Attempt to reverse-engineer, decompile, or extract the underlying AI prompts or algorithms.
• Resell, sublicense, or redistribute the Service or its outputs without prior written consent.
• Violate any applicable local, national, or international law or regulation.

9. Intellectual Property

You retain ownership of all documents you upload and the data contained therein. The Company retains ownership of the Service, its software, design, and proprietary algorithms. AI-generated outputs are provided to you for your use but carry no intellectual property warranty.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any reason at our sole discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request deletion of your stored data by contacting support.

11. Modifications to Terms

The Company reserves the right to modify these Terms at any time. Material changes will be communicated via the Service interface or by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SkyLight Technologies is incorporated, without regard to conflict-of-law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation and, if necessary, binding arbitration under internationally recognised arbitration rules. Nothing in these Terms limits your rights under mandatory consumer protection laws in your country of residence.
